NICHOLAS is a partner in our Venture Capital, Private Equity Fund Formation and Tax Groups and is based in our Boston office. His practice encompasses representation of emerging growth companies, entrepreneurs and venture capital and private equity funds, with a focus on formation and operation of venture capital and private equity investment partnerships from both a legal and tax perspective, private financings and structuring mergers, acquisitions and other reorganizations and corporate and partnership income taxation. He serves as fund counsel for a number of top-tier venture capital firms and regularly provides advice regarding aspects of day-to-day operations, financing activities, and drafting partnership, limited liability company and other governance agreements.

He has lectured and published articles on the tax and legal aspects of organizing and operating LLCs, structuring mergers and acquisitions, and the pros and cons of using LLCs for start-ups, and has presented on “Structuring Private Equity Funds” for the Institute for International Research’s 7th Annual Conference - Private Equity Tax Practices 2008. Prior to joining the firm, Nicholas was an associate with the Boston law firms of Nixon Peabody LLP and Hutchins, Wheeler & Dittmar, P.C. He has also worked as a legal intern for the Securities and Exchange Commission, as a consultant for a Big Five accounting firm, and as a financial analyst for a investment consulting firm.

Nicholas holds an LL.M. (Taxation) from Boston University School of Law, a J.D., magna cum laude, from Suffolk University Law School, and a B.S., magna cum laude, from Boston College. He graduated from Brophy College Preparatory in Phoenix, Arizona. He is a CFA charterholder and a member of the Boston Security Analysts Society and the CFA Institute. Nicholas was selected as a "Rising Star, Super Lawyer" in the area of tax law in Boston Magazine’s 2005, 2006, 2007 and 2008 Super Lawyers issues. He holds a second degree black belt in Jiu Jitsu and is a certified Jiu Jitsu Instructor. Nicholas is a member of the InnerCity Entrepreneurs private sector network, providing pro bono advice to emerging inner-city businesses.
